Our law firm client is seeking a mid-level corporate / real estate attorney (3-6 years of experience).Location : Dallas, Texas (Hybrid : In-office & Remote combination possible)This law firm is a dynamic and growing boutique real estate private equity law firm, focusing on real estate investment transactions, private structuring, and title insurance. They are seeking a mid-level attorney with a strong background in corporate law, particularly in entity structuring, joint venture agreements, and investment vehicles, along with experience in securities compliance.Key Responsibilities : Corporate Structuring and Transactions : Advise clients on entity formation and structuring, including LLCs, LPs, and otherinvestment entities. Draft and negotiate joint venture agreements, partnership agreements, and operating agreements. Design and oversee complex investment structures for real estate private equitytransactions. Advise clients on diverse and complex real estate transactions, focusing on commercialreal estate development, ownership, acquisitions, dispositions, and financing. Prepare and review loan documents, including term sheets, promissory notes, andancillary financing documents.Private Securities Compliance (experience preferred but not required) : Provide guidance on private placements under Regulation D of the Securities Act(experience with Regulation A is a plus). Prepare offering memoranda, subscription agreements, Form D filings, and stateBlueSky filings as needed. Advise on compliance with the Securities Act of 1933, the Investment Company Act, theInvestment Advisers Act, and the Exchange Act.Please submit application materials through the portal here.
