Gibson Arnold and Associates is looking for an attorney with 5+ years of experience in strategic M&A to assist with the firm’s growth plan. The ideal candidate will possess an in-depth experience with drafting and negotiating acquisition agreements and other transaction documents relating to acquisitions of both publicly traded and privately held companies, overseeing due diligence investigations of acquisition targets, preparing acquisition-related proxy statements, tender offer documents, information statements and other disclosure documents, and organizing closings of complex M&A transactions.
Responsibilities may include structuring M&A transactions, with the application of the federal securities laws to M&A transactions and with Delaware jurisprudence relating to directors’ responsibilities in the M&A area. Experience in working with publicly traded technology companies is also desirable. A strong work ethic and comfort supervising, managing and otherwise working with large deal teams on complex transactions is required. Associates at this level are expected to be prepared to devote substantial time to continuing to develop their transactional M&A skills and expertise and to mentoring and training junior M&A associates. An interest in M&A thought leadership and knowledge management is also a plus, as is experience working with M&A-related financial advisors.
Salary range is $345,000-$415,000 based on experience.
