Job Summary

We are searching for a professional Corporate Paralegal specializing in real estate transactions, mergers and acquisitions, and with experience in Contracts Administration reporting to the General Counsel. This is a career-level individual contributor role accountable for providing paralegal support and contract administration; conduct in-depth research, provide comprehensive document review, maintain up to date corporate records including all corporate minutes, annual filings with state and federal authorities and resolutions, provide litigation support, maintain the legal department files, and be the administrator of the company electronic contract administration system. The candidate must be a highly organized, quick-thinking, and initiative-taking individual who is able to juggle multiple responsibilities and projects with shifting priorities while maintaining a high level of attention to detail.

Essential Duties and Responsibilities

  • Review contracts including vendor service agreements, non-disclosure agreements, purchase and sale agreements, leases.
  • Draft, revise, and proofread general correspondence and legal documents.
  • Assist with information requests, identify, and organize responsive documents.
  • Identify opportunities to improve process and legal services.
  • Coordinate the execution and / or notarization of documents.
  • Ensure legal records are organized and complete so documents are easily accessible.
  • Act as point of contact with third party contract administration provider.
  • Assist with corporate, regulatory and other filings.
  • Implementation of research skills, contract drafting, and review.

  • Requirements :

    Essential Skills, Experience, and Education Include :

  • Bachelor's Degree in business or legal studies; ABA approved paralegal course of study or Paralegal Certification preferred, and 5+ years of experience as a corporate paralegal, contracts administrator.
  • Experience providing direct support to in-house counsel and in-house legal operations experience; 3+ years of experience with contract review, drafting, and negotiation; or equivalent combination of education and experience.
  • Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
  • Computer Skills :

  • Advanced working knowledge of Microsoft Office (i.e., Word, Excel, Outlook, PowerPoint) and DocuSign and Contract Administration software systems.
  • Certificates, Licenses, Registrations :

  • Paralegal Certification is required.
  • Notary Public is required.
  • Must possess a valid drivers license and insurance.
  • Must provide proof of eligibility to work in the United States.
  • Must pass a drug test and background check.
  • Physical Requirements Include :

  • The employee will frequently sit in a chair and use fingers to type on a computer and occasionally stand and walk.
  • The employee will frequently lift and / or move up to 10 pounds and occasionally up to 25 pounds.
  • The noise level is moderate and normal for an office environment.
